Contract of Engagement

The following serves as a Contract of Engagement between Web Best Practice Limited [the provider] and the Client [the person or entity who has requested Web Design Services]. By paying the deposit the client is agreeing to these terms and conditions.

1. Services and Products:

Web Best Practice Ltd Offer a complete range of Web Design, Web Development and Hosting services across the UK.

2. Hosting:

If the Client chooses to host the website with the provider on a monthly direct debit plan, the client agrees to minimum of 12 month hosting plan. After the initial 12 months, the client hosting will be on a rolling 30 days agreement. If the Client would like to cancel the agreement, then the provider will require 30 days notice in writing either by email or letter.

If the Client decides to cancel the hosting agreement before the initial 12 months are past, then client will be liable to pay for the remaining months hosting up to 12 months.

If the client pays for annual hosting, the client will not be able to cancel this agreement until the 12 months are finished.

3. Payment Terms:

The Client agrees to pay Web Best Practice Limited as per the following payment milestones, unless otherwise agreed.

Deposit – As soon as work commences on the project the deposit is deemed non refundable.
2nd Payment – is due to be paid to the provider when all designs are completed and passes to the

client for approval/comment.
Final Payment - is due to be paid to the provider when the website becomes “live”.

4. Ownership:

Once payment is made in full for the products requested, ownership of all source codes and designs are passed to the client.

5. Changes to Project Scope:

All changes to the scope will be documented and priced separately. Such changes will not be made until this has been approved by the client.

6. Delays:

Web Best Practice Limited shall use all reasonable efforts to meet the Work Plan and Milestone delivery schedule.

7. Refunds:

Refunds will be at Directors discretion. Refund request will need to be in writing either via letter or email.

8. Confidential Information:
All information shared with Web Best Practice Limited is treated as private and confidential.

9. Termination:

This agreement may be terminated by either party, without cause, by giving the other party 30 days written notice. Notwithstanding the above, Provider may terminate service under this agreement at any time, without penalty, if Client fails to comply with the terms of this Agreement.

10. Limitation of Liability:

The services and work product of Web Best Practice Limited are sold “as is”. In all circumstances, the maximum liability of Web Best Practice Limited, its directors, officers, employees, design agents and affiliates (“Web Best Practice Limited parties”), to client for damages for any and all causes whatsoever, and client1s maximum remedy, regardless of the form of action, whether in contract, tort or otherwise, shall be limited to the net profit of Web Best Practice Limited.

In no event shall Web Best Practice Limited be liable for any lost data or content, lost profits, business interruption or for any indirect, incidental, special, consequential, exemplary or punitive damages arising out of, or relating to the materials or the services provided by Web Best Practice Limited, even if Web Best Practice Limited has been advised of the possibility of such damages, and notwithstanding the failure of essential purpose of any limited remedy.

11. Indemnification:

Client agrees that it shall defend, indemnify, save and hold Provider harmless from any and all demands, liabilities, losses, costs and claims, including reasonable legal fees, ("Liabilities") asserted against Provider, agents, its clients, servants, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Client, its agents, employee or assigns.

Clients agrees to defend, indemnify and hold harmless Provider against Liabilities arising out of (i) any injury to person or property caused by any products or services sold or otherwise distributed in connection with Provider’s Web Design service; (ii) any material supplied by Client infringing on the proprietary rights of a third party; (iii) copyright infringement and (iv)any defective product which Client has sold in the Web Design.

12. ContractRevisions:

Revisions to this Contract will be considered agreed to by Provider and Client when 5 days written notice of requested changes have been signed by both parties.
